Supplier Code of Conduct

1. Introduction

This Supplier Code of Conduct ("Code") sets out the standards and expectations that Infinity Cloud System LIMITED ("we," "us," or "our") requires of all suppliers, vendors, contractors, and business partners ("Suppliers") who provide goods or services to us.

By engaging in business with us, Suppliers agree to comply with this Code and to ensure that their own supply chains adhere to these principles.

3. Legal Compliance

3.1 Laws and Regulations

Suppliers must:

• Comply with all applicable laws, regulations, and industry standards in the jurisdictions where they operate
• Obtain and maintain all required licenses, permits, and certifications
• Cooperate with regulatory authorities and inspections
• Promptly notify us of any legal violations or regulatory actions

3.2 UK-Specific Requirements

Suppliers operating in or supplying to the UK must comply with:

• Modern Slavery Act 2015
• Bribery Act 2010
• Data Protection Act 2018 and UK GDPR
• Health and Safety at Work Act 1974
• Equality Act 2010
• Employment Rights Act 1996
• Environmental Protection Act 1990

4. Labor and Human Rights

4.1 Forced Labor and Human Trafficking

Suppliers must not:

• Use forced, bonded, indentured, or involuntary labor
• Engage in human trafficking or modern slavery
• Require workers to surrender identity documents or pay recruitment fees
• Restrict workers' freedom of movement
• Use physical or psychological coercion

4.2 Child Labor

Suppliers must not:

• Employ workers under the age of 15 (or 14 where local law allows)
• Employ workers under 18 in hazardous work
• Interfere with compulsory education requirements

4.3 Working Hours and Wages

Suppliers must:

• Pay workers at least the minimum wage required by law
• Provide legally mandated benefits and overtime compensation
• Comply with maximum working hour regulations
• Provide adequate rest periods and breaks
• Not make unlawful deductions from wages
• Provide clear, written employment terms

4.4 Freedom of Association

Suppliers must:

4.5 Non-Discrimination and Harassment

Suppliers must:

• Provide equal employment opportunities regardless of race, color, religion, gender, age, disability, sexual orientation, or other protected characteristics
• Prohibit harassment, abuse, or corporal punishment
• Treat all workers with dignity and respect
• Maintain a workplace free from discrimination and harassment

5. Health and Safety

Suppliers must:

• Provide a safe and healthy working environment
• Comply with all applicable health and safety laws and regulations
• Identify and assess workplace hazards
• Implement appropriate controls and protective measures
• Provide necessary personal protective equipment (PPE)
• Train workers on health and safety procedures
• Maintain emergency preparedness and response plans
• Investigate and report accidents and incidents
• Provide access to clean drinking water and sanitary facilities

6. Environmental Responsibility

6.1 Environmental Compliance

Suppliers must:

• Comply with all applicable environmental laws and regulations
• Obtain and maintain required environmental permits

6.2 Environmental Management

Suppliers should:

• Minimize environmental impacts of their operations
• Reduce waste, emissions, and resource consumption
• Implement recycling and waste management programs
• Use energy and water efficiently
• Prevent pollution and environmental contamination
• Work towards sustainable practices

6.3 Climate Change

Suppliers are encouraged to:

• Measure and reduce greenhouse gas emissions
• Set science-based emissions reduction targets
• Transition to renewable energy sources where feasible
• Support climate change mitigation efforts

7. Business Ethics and Integrity

7.1 Anti-Bribery and Corruption

Suppliers must not:

• Offer, promise, give, or accept bribes or kickbacks
• Make facilitation payments
• Engage in corrupt practices
• Provide improper gifts, hospitality, or entertainment

Suppliers must comply with the UK Bribery Act 2010 and all applicable anti-corruption laws.

7.2 Conflicts of Interest

Suppliers must:

• Disclose any actual or potential conflicts of interest
• Avoid situations where personal interests conflict with business obligations
• Maintain objectivity and independence in business dealings

7.3 Fair Competition

Suppliers must:

• Comply with competition and antitrust laws
• Not engage in price-fixing, bid-rigging, or market allocation
• Compete fairly and ethically
• Not misrepresent products, services, or capabilities

7.4 Intellectual Property

Suppliers must:

• Respect intellectual property rights
• Not infringe on patents, trademarks, copyrights, or trade secrets
• Use only licensed or authorized software and materials
• Protect confidential information

8. Data Protection and Privacy

Suppliers must:

• Comply with UK GDPR and Data Protection Act 2018
• Process personal data only as instructed and for legitimate purposes
• Implement appropriate technical and organizational security measures
• Report data breaches promptly
• Respect individuals' privacy rights
• Not transfer personal data outside the UK without appropriate safeguards
• Maintain confidentiality of sensitive information

9. Information Security

Suppliers must:

• Implement appropriate cybersecurity measures
• Protect systems and data from unauthorized access
• Use encryption for sensitive data transmission and storage
• Maintain up-to-date security patches and software
• Conduct regular security assessments
• Report security incidents immediately
• Train employees on information security

10. Quality and Performance

Suppliers must:

• Deliver goods and services that meet agreed specifications and quality standards
• Maintain appropriate quality management systems
• Deliver on time and in full
• Provide accurate and complete documentation
• Respond promptly to quality issues and implement corrective actions
• Continuously improve products, services, and processes

11. Supply Chain Responsibility

Suppliers must:

• Ensure their own suppliers and subcontractors comply with this Code
• Conduct due diligence on their supply chains
• Flow down relevant requirements to sub-tier suppliers
• Monitor and audit their suppliers' compliance
• Address non-compliance in their supply chains
• Provide supply chain transparency when requested

12. Reporting and Whistleblowing

Suppliers must:

• Establish mechanisms for workers to report concerns without fear of retaliation
• Prohibit retaliation against whistleblowers
• Investigate reports of violations promptly and thoroughly
• Take appropriate corrective action
• Report material violations of this Code to us

Suppliers may be required to:

13.2 Audits and Inspections

We reserve the right to:

• Conduct audits of Supplier facilities and operations
• Review records and documentation
• Interview workers and management
• Engage third-party auditors
• Conduct announced or unannounced inspections

13.3 Corrective Action

If non-compliance is identified, Suppliers must:

• Acknowledge the issue and take responsibility
• Develop and implement a corrective action plan
• Provide regular progress updates
• Demonstrate sustained compliance

14. Consequences of Non-Compliance

Failure to comply with this Code may result in:

• Requirement for immediate corrective action
• Suspension of new business
• Termination of existing contracts
• Removal from approved supplier list
• Legal action where appropriate

We will work collaboratively with Suppliers to address issues, but serious or repeated violations may result in immediate termination of the business relationship.

We encourage Suppliers to:

• Go beyond minimum compliance requirements
• Implement best practices in their operations
• Invest in worker training and development
• Innovate to improve sustainability and social impact
• Collaborate with us on improvement initiatives
• Share learnings and best practices

This Code may be updated from time to time to reflect:

• Stakeholder expectations
• Our business requirements

Suppliers will be notified of material changes and are expected to comply with the updated Code.
